4. Our services
4.1 Consultancy services
We provide organisational development and people strategy consultancy services. The specific terms of any engagement will be set out in a separate proposal, statement of work, or service agreement.

We will use reasonable skill and care in providing our services. However, our services comprise advice and recommendations only. Any decisions made and actions taken as a result of our services are your responsibility.
4.3 Client responsibilities
To enable us to provide our services effectively, you agree to:

Make timely decisions and provide approvals as needed
Ensure appropriate personnel are available for meetings and consultations
Comply with all applicable laws and regulations in implementing any recommendations
5. Fees and payment
5.1 Fees
Our fees will be set out in our proposal or service agreement. All fees are exclusive of VAT unless otherwise stated.
5.2 Payment terms
Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date. We reserve the right to charge interest on overdue amounts at 4% above the Bank of England base rate.
5.3 Expenses
Any expenses reasonably incurred in providing our services (such as travel costs) will be recharged at cost, unless otherwise agreed.
6. Intellectual property
6.1 Our intellectual property
All intellectual property rights in our website content, methodologies, frameworks, templates, and materials remain our property (or that of our licensors). You may not use, copy, reproduce, or distribute any such materials without our express written permission.
6.2 Client deliverables
Upon full payment of all fees, you will own the intellectual property rights in any bespoke deliverables created specifically for you, excluding our pre-existing intellectual property, tools, and methodologies which remain our property.
7. Confidentiality
We will treat all confidential information you provide to us with appropriate care and will not disclose it to third parties except as necessary to provide our services, with your consent, or as required by law. This obligation survives the termination of any engagement.
8. Limitation of liability
8.1 Exclusions
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
8.2 Limitations
Subject to the above, we shall not be liable for:
Any indirect, consequential, or special loss or damage
Loss of profit, revenue, business, or anticipated savings
Loss of data or information
Loss of goodwill or reputation
8.3 Maximum liability
Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you for the relevant engagement in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your breach of these Terms or your misuse of our services or website.
10. Termination
10.1 Website access
We may suspend or terminate your access to our website at any time without notice if you breach these Terms.
10.2 Service engagements
Either party may terminate a service engagement by giving 30 days' written notice (or as otherwise agreed in the service agreement). You will be liable to pay for all services provided up to the date of termination, plus any committed costs.
